Terms of Service
Last updated: June 2026
1. Acceptance of Terms
By accessing or using Flip It Exchange ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, please do not use the Platform. These terms apply to all users including buyers, sellers, and partner organizations.
Flip It Exchange is an affiliate of Jerome Holdings LLC.
2. Eligibility
You must be at least 16 years of age to use the Platform. If you are under 18 years of age (or the age of legal majority where you live), you may use the Platform only under the supervision of a parent or legal guardian who agrees to be bound by these Terms. If you are a parent or legal guardian of a user under the age of 18, you agree to be fully responsible for the acts or omissions of such user in relation to the Platform.
You may only register for an account if you are legally permitted to, and do, live in the United States or one of its territories. Additionally, you may not use the Platform if you have previously been suspended or removed from using it, or if you are violating any other agreement to which you are a party by agreeing to these Terms.
3. User Accounts & Account Security
You must provide accurate account information when registering and promptly update it if it changes. You are responsible for maintaining the security and confidentiality of your login credentials. Notify us immediately if you discover or suspect that someone has accessed your account without your permission.
- You may only create one account per person. Multiple accounts used to manipulate listings or reviews are prohibited.
- You are responsible for all activity that occurs under your account.
- We reserve the right to reclaim usernames, including on behalf of businesses or individuals that hold legal claim to those names.
5. About the Platform
Flip It Exchange is a marketplace that connects buyers and sellers of secondhand goods — including clothing, shoes, instruments, and equipment — while directing a portion of every sale to approved nonprofit organizations. Every transaction is transparent: a minimum of 5% is directed to each of two designated organizations chosen by the seller, meaning sellers receive up to 90% of the sale price. Sellers may choose to direct a larger percentage to the organizations, receiving less accordingly.
A platform fee is added on top of the seller's listing price. For items listed below $500.00, the platform fee ranges from 4% to 5% of the listing price. For items listed at $500.00 or above, the platform fee ranges from 3% to 3.5% of the listing price. The exact fee within each range is dynamically determined to produce a psychological price point for the buyer. The buyer absorbs the full platform fee — it is added to the listing price and reflected in the total price the buyer pays at checkout. Nothing is deducted from the seller's listing price on account of the platform fee. The seller's payout is calculated based on the listing price after the organization splits are applied, and the platform fee does not reduce the seller's share.
6. Seller Responsibilities
- Sellers must accurately describe and photograph all items listed for sale.
- All listings are subject to admin review and approval before appearing in the shop.
- Sellers are responsible for shipping items promptly after an order is confirmed, or arranging local pickup as agreed.
- Fraudulent listings, misrepresentation, or counterfeit items will result in immediate removal and possible account termination.
- Sellers agree to the payment split structure at the time of listing: a minimum of 5% to each of two designated organizations, with sellers receiving up to 90% of the sale price or less if they choose to contribute more to the organizations.
- Accurate Dimensions Required: Sellers are responsible for providing accurate package dimensions and weight when listing items. If the actual shipping cost exceeds the amount calculated at checkout due to incorrect or underestimated dimensions provided by the seller, the difference will be deducted from the seller's payout. Flip It Exchange is not responsible for shipping cost overages caused by seller-provided dimension inaccuracies.
7. Buyer Responsibilities
- Buyers agree to pay the listed price plus any applicable fees at checkout.
- Buyers must provide accurate shipping information.
- All sales are final.
- Buyers should contact the seller through the platform's messaging system to resolve disputes before escalating.
8. Organization Partners
- Organizations must apply and be approved by Flip It Exchange administrators to participate.
- Approved organizations receive a minimum of 5% of qualifying transactions where a buyer selects them at checkout.
- Organizations pay a fee of 1% of the 5% of their total earnings received through the platform for administrative tasks (minus applicable Stripe fees). Stripe's payment processing and payout fees are deducted directly from the organization's Stripe balance at the time of payout; Flip It Exchange does not cover or absorb these fees.
- Organizations are responsible for providing accurate banking information for disbursements.
- Flip It Exchange reserves the right to archive or remove organizations that violate these terms or misrepresent their mission.
9. Payments & Fees
All payments for products listed and sold on the Flip It Exchange platform must be processed exclusively through Stripe, our authorized third-party payment processor. The direct exchange of cash, checks, money orders, peer-to-peer payment applications (including but not limited to Venmo, Cash App, or Zelle), or any other form of payment outside of the Platform's integrated checkout system is strictly prohibited between buyers and sellers for transactions originating on Flip It Exchange.
This policy exists to protect both parties — ensuring transparent fund distribution to sellers and partner organizations, providing a verifiable transaction record, and enabling our buyer protection and dispute resolution processes. Any transaction conducted outside the Platform's payment system voids all buyer protections, dispute rights, and payout guarantees provided by Flip It Exchange.
A platform fee is added on top of the seller's listing price. For items listed below $500.00, the platform fee ranges from 4% to 5% of the listing price; for items listed at $500.00 or above, the platform fee ranges from 3% to 3.5% of the listing price. The exact fee within each range is dynamically determined to produce a psychological price point for the buyer. The buyer absorbs the full platform fee — it is added to the listing price and reflected in the total price the buyer pays at checkout. Nothing is deducted from the seller's listing price on account of the platform fee, and the fee does not reduce the seller's payout. Additionally, a minimum of 5% is directed to each of two seller-designated organizations, meaning sellers receive up to 90% of the listing price. Sellers may voluntarily contribute a higher percentage to the organizations. Disbursements to sellers and organizations are made in accordance with our payout schedule.
Stripe Processing & Payout Fees. Stripe's payment processing and payout fees are separate from the platform fee and are not covered or absorbed by Flip It Exchange. When a payout is transferred to a seller's or organization's connected Stripe account, Stripe deducts its standard fees (including per-transaction processing fees and, where applicable, instant-payout or payout-method fees) directly from the recipient's Stripe balance before the funds reach their bank account or debit card. The exact fee depends on the payout method chosen by the recipient and Stripe's published fee schedule. Sellers and organizations are responsible for any Stripe fees associated with receiving their funds, and the net amount deposited to their account will reflect these deductions.
Seller Liability for Shipping Discrepancies. Sellers are responsible for providing accurate package dimensions and weight when listing items. If the actual shipping cost charged by the carrier exceeds the amount calculated and collected at checkout due to incorrect, incomplete, or underestimated dimensions provided by the seller, the difference will be deducted from the seller's payout. This deduction will appear as a "Shipping Shortage" adjustment on the seller's account and will be applied to the seller's next available payout. Flip It Exchange is not responsible for shipping cost overages caused by seller-provided dimension inaccuracies.
Chargeback & Dispute Fees. If a buyer disputes a charge through their bank or credit card issuer (a "chargeback") and Stripe charges the Platform a dispute fee, a fee of $17.00 per dispute will be deducted from the seller's payout. This fee applies when the dispute is related to the seller's item (e.g., defective item, item not as described, or item not received). The deduction will appear as a "Chargeback Fee" adjustment on the seller's account and will be applied to the seller's next available payout. If the dispute is resolved in the seller's favor (dispute status "won"), the fee is refunded by Stripe and the adjustment will be automatically dismissed. If the seller believes the chargeback fee should not be applied to them, they may contact Flip It Exchange to request a review. Sellers are responsible for accurately describing items and ensuring they are in the stated condition to prevent chargebacks.
10. Prohibited Conduct
Users may not:
- List illegal, stolen, or prohibited items.
- Harass, threaten, or deceive other users.
- Attempt to circumvent the Platform's payment system.
- Create multiple accounts to manipulate reviews or listings.
- Use automated bots or scrapers on the Platform.
11. Intellectual Property
By uploading product images or content, you grant Flip It Exchange a non-exclusive, royalty-free license to display that content on the Platform. You retain ownership of your content. The Flip It Exchange name, logo, and platform design are proprietary and may not be reproduced without permission.
12. Disclaimers & Limitation of Liability
Flip It Exchange provides the Platform "as is." We do not guarantee the quality, accuracy, or legality of items listed. We are not responsible for disputes between buyers and sellers, shipping delays, or item condition beyond what is reasonably described. Our liability to any user is limited to the amount paid in the transaction giving rise to the claim.
13. Termination
We reserve the right to suspend or terminate any account that violates these Terms. Users may delete their accounts at any time through the Settings page. Termination does not affect obligations from completed transactions.
14. Changes to Terms
We may update these Terms from time to time. Continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.
15. Buyer Verification & Payout Window
When a buyer receives a shipped item or completes a local pickup, they have a 48-hour verification window to confirm the item is in acceptable condition.
- Explicit Payout Window: Buyers have exactly 48 hours from the time tracking shows "Delivered" (for shipped items) or from the time the seller confirms pickup (for local pickup items) to log into their account and confirm the item condition. If the buyer fails to respond within this window, funds will automatically unlock and transfer to the seller. We do not hold seller funds indefinitely due to buyer inactivity.
- Automatic Release: After 48 hours, if no issue has been reported, the system automatically releases the seller's payout. This protects sellers from payment delays caused by forgetful or unresponsive buyers.
- Reporting Issues: If a buyer believes the item is significantly not as described, they must report the issue within the 48-hour window. This triggers a review process where Flip It Exchange will request evidence from both parties.
16. Dispute Resolution & Arbitration
Disputes between buyers and sellers are handled through the following process:
- Final Arbitration: Flip It Exchange acts as an independent platform administrator. By using the platform, both buyers and sellers agree that Flip It Exchange reserves the sole and final right to decide dispute outcomes and release or return held funds based on evidence provided.
- Evidence Review: In case of a dispute (e.g., false defect claims, item swapping, or misrepresentation), both parties may be asked to provide photo/video evidence. Flip It Exchange will review all submitted materials and make a binding decision.
- Buyer Scam Protection: We take false claims seriously. If a buyer is found to have fraudulently claimed an item is defective (e.g., swapping components, lying about condition), their account will be suspended and funds will be released to the seller.
- Seller Liability: Sellers assume 100% liability for the accuracy of their listings, including item condition, functionality, and legality. Flip It Exchange does not guarantee the cloud-unlock status, clean IMEI history, authenticity, or safety of electronics or any other items.
17. Financial Disclaimers
- No Interest on Held Funds: Funds held in Stripe's system during the 48-hour verification window do not accrue interest for the seller, buyer, or platform. The seller receives exactly the amount shown at checkout (minus applicable fees).
- Platform Verification Scope: Flip It Exchange's admin review of listings is purely an operational check for site formatting, category accuracy, and basic guideline compliance. Approval does not guarantee safety, authenticity, legality, or product quality. Sellers remain 100% legally responsible for their items.
- No "Guaranteed" or "Certified" Labels: We do not use terms like "Verified Authentic" or "Certified" unless explicitly stated with expert authentication. Listings may show "Admin Approved" to indicate they passed basic screening, but this is not a guarantee of quality or authenticity.
18. Data & Privacy
Sellers confirm they have completely wiped all personal data from electronics prior to listing. Flip It Exchange is not liable for data breaches, unlocked cloud accounts, or privacy violations resulting from seller negligence. By listing an item, sellers warrant that all personal accounts, passwords, and data have been permanently removed.
19. User-Generated Content
Our Platform may allow you to create, post, store, and share content, including photos, descriptions, messages, and other materials (collectively, "User Content"). You retain all rights in and are solely responsible for your User Content. By posting User Content, you represent and warrant that:

- It does not violate the privacy rights, publicity rights, intellectual property rights, or other rights of any person or entity.
- It does not contain content that is false, misleading, defamatory, obscene, or otherwise objectionable.

Flip It Exchange reserves the right (but is not obligated) to review, remove, or edit any User Content at any time in our sole discretion, including content that we determine violates these Terms or our policies.
20. Safety & Interactions Between Users

We recommend that you use caution when communicating with or meeting other users. 21. Indemnification
You will indemnify, defend, and hold harmless Flip It Exchange and its officers, directors, employees, agents, and successors from and against any and all claims, damages, losses, costs, expenses, and liabilities (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including any intellectual property, privacy, or publicity right; or (e) any dispute or issue between you and any third party, including other users. We reserve the right, at our own expense, to assume control and direction of the defense of any matter otherwise subject to indemnification by you.
22. Governing Law & Jurisdiction
These Terms and any dispute arising out of or related to them or the Platform will be governed by the laws of the United States, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in the United States, and you irrevocably consent to personal jurisdiction and venue there.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.
